MCRB is a limited company wholly owned by one of the founders, the Institute of Human Rights and Business Ltd, incorporated in October 2013 with UK registration number 08732191.
According to the Memorandum and Articles of Association (MAoA) (Section 3.2), the aim is to enhance human rights through encouraging responsible business activities in Myanmar.
IHRB Ltd is an unregistered UK investment company limited by guarantee (Private company limited by guarantee). No share capital. In addition, MCRB Ltd is already registered with Companies House as an entity with significant influence over MCRB Ltd.
IHRB is also a UK registered charity (1131790). MCRB's Board of Directors includes Ron Popper (Chairman); Nicky Black (replaces Ramanie Kunanayagam on 29 November 2021); Vicky Bowman; Featuring John Morrison and Elin Wrzoncki. Ron Popper and Nicky Black are Trustees of IHRB. Although not required by law, the Board intends to meet at least once a year, and the last meetings were held online on July 8, 2021 (all five directors attended) and November 23, 2021 (Ron Popper, Vicky Bowman and Elin Wrzonck attended).
According to the Memorandum and Articles of Association (MAoA) (Sections 8-9), the Board does not assign accountability to any committee and is responsible for reviewing the audit.
Both MCRB's and IHRB's accounts are prepared by LMDB in accordance with the Companies Act and Financial Reporting Standard 102 and audited by Myrus Smith. The audit was conducted in accordance with international auditing standards. Previous audit reports were unqualified. Audited registers are kept at Companies House.
MCRB is a non-governmental organization that is a signatory to the UN Global Compact and submits a Communication on Engagement (CoE) every two years.
